The Service is controlled and offered by us from our facilities in the United States of America. Those who access or use the Service from other jurisdictions do so at their own volition and are responsible for compliance with local law.
We built this website to be an online resource for consumers seeking to make healthcare purchase decisions. We provide search, comparison and other tools to help consumers make smarter choices about their healthcare expenditures. Some of our visitors may, in addition to browsing through our website elect to ask us questions about the UHSM Services, or find a health share program that can address their needs.
We gather information from a variety of data sources including the government, nonprofit and leading commercial resources. You agree that UHSM is in no way responsible for the accuracy, timeliness or completeness of any information it may display or provide.
UHSM is not an insurance company and does not provide any of the products or services advertised on the Website[1]. We may provide Website users with the opportunity to submit requests for information on a wide variety of products and services offered by certain service providers (each such service provider, a “Service Provider”; each such request, a “Request”). Once you provide us with the information required on our form, we attempt to match you with Service Providers to help you acquire the type of product or service you are seeking. We are not an insurance carrier and do not act as an insurance agent or broker on the Website, and hence, we do not issue insurance contracts or bind coverage ourselves, nor do we endorse or recommend any particular Service Providers listed on the Website.
You may be able to visit certain public sections of the Website without identifying yourself or providing personal information. In order to access some features of the Services, you are required to register with the Services and select a username and password (create an “Account”). By registering for an Account, you represent and warrant that all registration information you submit is truthful and accurate. You may not have more than one (1) Account without UHSM’s permission, and you must access the Service and non-public portions of the Website through your Account. The security and confidentiality of your Account username and password is your sole responsibility. All of your information and data provided to UHSM in connection with registering for your Account (“Registration Data”) must be true, accurate, current, and complete at all times, and it is your responsibility to immediately update your Registration Data should any changes occur in order to keep it true, accurate, current, and complete. If you provide any information that is untrue, inaccurate, or incomplete, or if UHSM has reasonable grounds to suspect that such information is untrue, inaccurate, or incomplete, UHSM has the right to suspend or terminate your Account. If you are registering for Accounts of behalf of others (e.g., a child, family member, or other person), you warrant that the appropriate permissions and authorizations have been received prior to such registration.
Notwithstanding anything to the contrary, you hereby authorize UHSM and its affiliates, contractors and suppliers to use, copy, sublicense and disclose Registration Data (i) as part of providing the Services, (ii) if required by applicable law, where necessary to enforce these Terms and/or to protect any of UHSM’s or other parties’ legal rights, (iii) in an aggregated form which does not include your identifying information, and (iv) as permitted by UHSM’s Privacy Notice. You are solely responsible to obtain any necessary rights, authorizations and consents with respect to your Registration Data, including, without limitation, to grant the foregoing rights to UHSM and its affiliates, contractors and suppliers. From time to time, UHSM and the Website may offer you the opportunity to enter into certain contests, raffles, or sweepstakes (generally, “Contest(s)”), in which case UHSM or an identified third party may act as “Sponsor” of said Contests. Prizes (up to and including the Grand Prize) are non-transferable and non-refundable, no substitutions will be made except as provided herein, in the Sponsor’s sole discretion. A Prize is not redeemable for cash. Sponsor reserves the right to substitute a particular Prize for one of comparable or greater value. Winners are responsible for any applicable local income taxes. General Conditions: Sponsor reserves the right to modify the Contest at any time. In the event that the operation of the Contest is impaired in any way, the Sponsor may award Prizes from among the eligible entries received up to the time of the impairment. Sponsor reserves the right to disqualify and seek damages from any individual who tampers with the Contest, violates these Terms or Contest rules, or acts in a disruptive manner. If there is a drawing as a part of the Contest, that drawing represents sweepstakes and is subject to federal, state, and local laws and regulations, and is void where prohibited. By entering, you agree to release and hold harmless Sponsor, its parent, subsidiaries, affiliates, and each of their respective officers, directors, employees, and agents (the “Contest Released Parties”) from and against any claim or cause of action arising out of participation in the Contest or receipt or use of any Prize. Publicity: Except where prohibited, participation in the Contest constitutes your consent to Sponsor’s use of your name, likeness, voice, opinions, biographical information, and state of residence for promotional purposes in any media without further payment or consideration.
FORCE MAJEURE. If, for any reason, the Contest (or any part thereof) is not capable of running as planned by reason of computer virus, bug, system malfunction, tampering, unauthorized intervention, fraud, technical failures, fire, flood, earthquake, storm or other natural cataclysm, riot, strike, terrorist activity, civil commotion, governmental regulation, or any other causes beyond the control of Sponsor which, in its sole opinion, corrupts or affects the administration, security, fairness, integrity or proper conduct of the Contest (or any part thereof), Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Contest, or to thereafter conduct the Contest by selecting the Prize winner(s) for affected Contest drawing from among all eligible entries received for such affected Contest drawing prior to the action taken by Sponsor or otherwise in a manner which is fair, equitable and in accordance with these Terms or Contest rules, as determined by Sponsor in its sole discretion.
Disputes: Except where prohibited, you agree that any and all disputes, claims, and causes of action arising out of, or connected with, the Contest or any Prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in Orange County, California, USA. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Terms or Contest rules, your rights, and obligations, or the rights and obligations of the Sponsor in connection with the Contest, shall be governed by and construed in accordance with, the laws of California, USA, without giving effect to any choice of law or conflict of law rules (whether of California, USA or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than California, USA.
Sponsor: Unless otherwise indicated as it pertains to a specific Contest, the Program is sponsored by Unite Healthshare Ministries, 999 Waterside Dr, Norfolk, VA 23510.
This Agreement shall be governed by the laws of the State of California without giving effect to any principles that may provide the application of the law of another jurisdiction. Any controversy or claim arising out of or relating to this Agreement, including any controversy or claim involving a third party with whom information you have entered into the Website has been shared (but only to the extent such third party consents to arbitration of such controversy or claim)shall be settled by binding arbitration before a single arbitrator in accordance with the JAMS Streamlined Arbitration Rules. The decision of the arbitrator shall be final and unappealable. The arbitration shall be conducted in Orange County, California and judgment on the arbitration award may be entered into any court having jurisdiction thereof. Notwithstanding the foregoing, we may seek injunctive or other equitable relief to protect our intellectual property rights in any court of competent jurisdiction.
If either UHSM or you want to arbitrate a dispute, UHSM and you each agree to send written notice to the other providing a description of the dispute, previous efforts to resolve the dispute, all supporting documents/information, and the proposed resolution. UHSM and you each agree to make attempts to resolve this dispute within forty-five (45) days of receipt of the notice to arbitrate. Thereafter, either UHSM or you may submit the dispute to formal arbitration.
Both you and UHSM each agree not to pursue arbitration on a consolidated or classwide basis, including any arbitration involving a third party with whom information you have entered into the Website has been shared. Both you and UHSM each agree that any arbitration will be solely between you and UHSM and/or, where applicable, a third party with whom information you have entered into the Website has been shared (not brought on behalf of or together with another individual’s claim). If for any reason any court or arbitrator hold that this restriction in unconscionable or unenforceable, then this agreement to arbitrate does not apply and the dispute must be brought in court.
TO THE EXTENT ALLOWED BY LAW, YOU WAIVE ANY RIGHT TO PURSUE DISPUTES ON A CONSOLIDATED OR CLASSWIDE BASIS; THAT IS, TO EITHER JOIN A CLAIM WITH THE CLAIM OF ANY OTHER PERSON OR ENTITY, OR ASSERT A CLAIM IN A REPRESENTATIVE CAPACITY ON BEHALF OF ANYONE ELSE IN ANY LAWSUIT, ARBITRATION, OR OTHER PROCEEDING.
TO THE EXTENT ALLOWED BY LAW, WE EACH WAIVE ANY RIGHT TO TRIAL BY JURY IN ANY LAWSUIT, ARBITRATION, OR OTHER PROCEEDING.
Nothing contained in these Terms will be deemed to constitute either party as the agent or representative of the other party, or both parties as joint venturers or partners for any purpose. You may not assign, delegate or transfer your rights or obligations under these Terms. We may assign our rights and duties under these Terms without such assignment being considered a change to the Terms and without notice to you. We may modify these Terms, at any time, by posting notice thereof on the Website. Your continued use of the Website following the posting of notice of any modification will be subject to the Terms in effect at the time of your use. Please review these Terms periodically for changes. If you object to any provision of these Terms or any subsequent modifications to these Terms or become dissatisfied with the Website, your only recourse is to immediately terminate use of the Website. Other terms and conditions may apply to your purchases of UHSM products/services through the Website, the Service Providers’ websites, and to your use of other portions of the Website. You will observe these other terms and conditions. If we fail to act with respect to your breach or anyone else’s breach on any occasion, we are not waiving our right to act with respect to future or similar breaches.
